1. Who we are
Dialzee CRM ("Dialzee") is provided by Quantuvate LLC, a limited liability company, of 8461 Lake Worth Road, Suite 437, Lake Worth, FL 33467 ("we" or "us"). "You" means the business that creates or holds a Dialzee account. If you accept these terms for a business, you confirm you have the authority to bind it.
2. Accepting these terms
You accept these terms by ticking the box when you sign up or subscribe, or by using Dialzee. The Privacy Policy, Refund Policy and Acceptable Use Policy are part of this agreement.
3. Business use only
Dialzee is for businesses, not for personal, family or household use. You must be at least 18 and able to enter into a contract.
4. Your account
- You are responsible for your users, everything done under your account, and keeping passwords safe.
- Your plan includes a set number of seats. Each active user takes one. Logins may not be shared between people.
- Tell us straight away at hello@dialzee.com if you think your account has been accessed without permission.
5. Plans and payment
- You pay first. Access starts once your first payment has cleared. We do not offer public free trials. We may give free or trial access to a particular business in writing, and section 9 then applies.
- Prices are the ones shown when you subscribe, in US dollars, and don't include tax. Each plan has two parts, shown as separate lines on your invoice: the software, and a calling and texting allowance. Both are paid in advance, as section 7 explains.
- Billing cycle. Subscriptions are billed in advance, monthly or yearly, starting on the day you subscribe. Your card is charged by our payment processor, Stripe.
- Price changes. We'll give you at least 30 days' notice by email before a price change applies to you. It takes effect at your next renewal, and you can cancel before then.
6. Automatic renewal and cancelling
Your subscription renews automatically at the end of each billing period, for the same length of time, and we charge the payment method on file, until you cancel. We email you a reminder before each renewal showing the estimated amount.
You can cancel at any time on the Billing page in your account, or by writing to hello@dialzee.com. Cancelling stops the next renewal. You keep access until the end of the period you've paid for. See the Refund Policy for refunds.
7. Calling, texting, limits and top-ups
Everything is paid for in advance. Your plan includes monthly limits on call minutes, text messages, phone numbers, seats, AI credits and campaign emails. Calling, texting and phone numbers are a separate charge from the software, and appear on their own invoice line. Dialzee is software, and these services are provided over third-party carrier networks. Monthly limits reset each month and don't carry over, including on annual plans.
Use stops at your limits. When a limit is reached, that service stops until your limits reset, or until you top up or upgrade. A call in progress can be ended when your minutes run out, and calls to your numbers may not connect. We don't bill you for going over. A text message over 160 characters counts as more than one, as carriers charge for it that way, and calls are counted in whole minutes. Plans cover calls and texts within the US and Canada. Numbers elsewhere, and premium-rate numbers, aren't included and may be blocked. You can buy top-ups on the Billing page. They're paid for before they can be used, stay on your account until used, and end if your subscription ends. We count usage from our systems, and those records decide what's been used unless you show they're wrong.
If a payment fails, calling, texting and AI stop straight away until it's paid, your account may go on hold after a short grace period, and your subscription may be canceled if it stays unpaid. If you dispute a payment with your bank, your account goes on hold until the dispute is settled.
You can choose phone numbers in your account. Your plan includes a set number, and any more are billed monthly at your plan's rate until you give them back. Numbers stay available to you only while your account is active. Numbers on an account that has ended may be released, and we can't promise you'll get a released number back. We can't guarantee a number won't be changed or withdrawn if a carrier or the law requires it.
8. Late payment
If a payment fails we'll email you and retry. If it's still unpaid after the grace period shown in your reminder emails (currently 7 days), we may put your account on hold. While on hold your users can't use Dialzee, but your data is kept and access returns once you've paid. You remain responsible for amounts owed, and for reasonable costs of collecting them where the law allows.
9. Free access and promo codes
If we give you free, trial or discounted access, it lasts for the time we tell you. It has allowances, and use stops when they run out. When it ends your account goes on hold unless you've chosen a paid plan. We may end free access early if these terms are broken. Codes have no cash value, can't be transferred, and may have limits or expiry dates.
10. Taxes
All prices exclude tax. You pay all sales, use, communications and similar taxes, and any telecom or regulatory fees, on what you buy from us, other than taxes on our income. We add them to your invoice where we have to collect them, and they may appear as separate lines. If you're exempt, send us a valid certificate before you're invoiced.
11. Your data
Your leads, contacts, call recordings, messages and other content ("Customer Data") stay yours. You give us permission to store, process and transmit Customer Data as needed to provide Dialzee and support you. We keep it separate from other customers' data. How we handle personal information is described in the Privacy Policy.
You are responsible for having the right to upload Customer Data and for keeping your own copies of anything important.
12. Your calling, texting and email responsibilities
Dialzee is a tool. You decide who you contact and how, and you alone are responsible for making sure that contact is lawful. That includes getting any consent the law requires, and complying with the Telephone Consumer Protection Act, the Telemarketing Sales Rule, the CAN-SPAM Act, do-not-call rules, state telemarketing laws, carrier rules, and call recording laws. Some states require everyone on a call to agree to it being recorded. Our Acceptable Use Policy has the details. Nothing in Dialzee or from our team is legal advice.
13. AI features
Dialzee uses artificial intelligence for features such as call transcripts, call review, coaching and suggestions. AI output can be wrong or incomplete. Check it before relying on it, and don't use it as the only basis for a decision that significantly affects someone. Audio and text are sent to our AI providers to produce these results, as described in the Privacy Policy.
14. Service and availability
- We work to keep Dialzee available, but we don't promise it will be uninterrupted or free of errors. Calling and texting depend on carriers and on your internet connection.
- Dialzee isn't a replacement for a phone service and can't be used for emergency calls. Do not rely on it to reach 911 or other emergency services.
- We may change the product over time. If we remove something important you're paying for, we'll give you reasonable notice.
15. Third-party services
Dialzee relies on and connects to other providers, such as carriers and payment processors. We aren't responsible for services we don't control. Your use of an integration you turn on may be subject to that provider's terms.
16. Our property
We and our licensors own Dialzee, including the software, design and brand. You get a limited, non-exclusive, non-transferable right to use it during your subscription. You may not copy, resell, or reverse engineer it, or use it to build a competing product. If you send us feedback, we may use it freely.
17. Confidentiality
Each of us will protect the other's non-public information with reasonable care, and use it only for this agreement, unless the law requires disclosure.
18. Suspension and ending this agreement
We may suspend or end your access if you break these terms or the Acceptable Use Policy, if your use creates legal or security risk, or if a carrier or the law requires it. Where it's reasonable, we'll warn you first. You can end this agreement by cancelling. When it ends, your right to use Dialzee stops. You may ask us for an export of your Customer Data within 30 days. After that we may delete it.
19. Disclaimer
To the extent the law allows, Dialzee is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. We don't promise any particular sales, appointments or business results.
20. Limits on liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims under this agreement is limited to the amount you paid us in the 12 months before the event that gave rise to the claim. These limits don't apply to your payment obligations, your obligations under section 21, or liability that can't be limited by law.
21. Your responsibility for claims
You will defend and compensate us against third-party claims, fines and costs arising from your Customer Data, your calls, texts and emails, or your breach of these terms or the law. That includes claims under telemarketing and consumer protection laws.
22. Changes to these terms
We may update these terms. If a change is significant, we'll email you at least 30 days before it applies. If you keep using Dialzee after that date, the new terms apply. If you don't agree, you can cancel before then.
23. Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules, and its courts have exclusive jurisdiction. Before starting a claim, please write to us so we can try to resolve it.
24. General
This is the whole agreement between us about Dialzee, and it replaces earlier discussions. If part of it can't be enforced, the rest still applies. You can't transfer this agreement without our consent. We may transfer it as part of a merger or sale. Neither of us is responsible for delays caused by events outside reasonable control.
